Public Offer for the Provision of Tracepo Platform Services

Version 1.4. Last updated: 14 October 2026.

This Offer is published in Russian and Uzbek. If the texts differ, the Russian text prevails.

This English text is a courtesy translation provided for convenience only. It has no legal force of its own: the Russian text is the only binding version, and in any dispute or inconsistency the Russian text applies.

This document is a public offer within the meaning of part two of Article 369 of the Civil Code of the Republic of Uzbekistan and contains all the essential terms of the contract. It is addressed to an indefinite range of persons and is not an invitation to make offers.

If you are contracting from outside the Republic of Uzbekistan, the Terms of Service apply to you instead of this Offer.

1. Parties

Contractor: "BEATAI LABS" Limited Liability Company, TIN 312569409, OKED 62010, registered at: Toshkent shahri, Mirobod tumani, Yuksalish MFY, Kuylik-3 mavzesi, 37-uy, 26-xonadon, Republic of Uzbekistan, represented by its director Juraev Obid Ismat ugli, acting under the charter.

Customer: a legal entity, individual entrepreneur or natural person who has accepted this Offer in the manner set out in section 3.

2. Subject of the contract

The Contractor gives the Customer access to the Tracepo cloud monitoring platform (the Service), and the Customer pays for that access on the terms of the chosen plan, except for the trial period provided for in clause 5.5 of this Offer.

The Service receives telemetry from the Customer's systems, stores it and provides tools for search, visualisation and alerting.

The Service is designed to receive three kinds of telemetry: metrics, traces and logs. Which of them are available to the Customer depends on the Customer's plan and on the functionality released at the time the services are provided; the current list is shown in the account and in the documentation. The Contractor develops the Service and may release new functionality and end support for particular kinds of telemetry.

The Service is provided only as a cloud service. No version for installation on the Customer's equipment is offered.

The services are provided remotely, over the Internet, at app.tracepo.io and related domains.

3. Acceptance

Registering an account in the Service constitutes acceptance of this Offer. By creating the account, the Customer confirms that it has read and accepts this Offer and the Privacy Policy.

From the moment of registration the contract is deemed concluded in writing on the terms of this Offer and its annexes. No separate paper document is drawn up or required.

Acceptance means full and unconditional agreement to all terms of the Offer. Acceptance on other terms, and partial acceptance, are not allowed.

A natural person accepting on behalf of an organisation confirms that they are authorised to do so.

The Service is not intended for persons under 18.

4. Annexes to the Offer

The following form an integral part of this Offer:

All annexes are published at the addresses above and are available to anyone. The Customer confirms having read them before acceptance.

If this Offer and an annex conflict on a matter of personal data processing, the Data Processing Agreement prevails.

5. Price and payment

5.1. The price of the services is set by the chosen plan. Current prices are published on the pricing page and shown in the account.

5.2. Prices are stated exclusive of value added tax; no VAT is charged, because the Contractor applies the simplified tax regime (turnover tax) and is not a VAT payer.

5.3. The settlement currency is determined by the country the Customer specifies at registration: Uzbek som (UZS) for the Republic of Uzbekistan, US dollars for all other countries. The currency is fixed after the first payment and cannot be changed afterwards.

5.4. Payment is made in advance for a period (a month or a year) through the payment service that matches the settlement currency. The Customer's bank card details are not passed to or stored by the Contractor.

5.5. There is no permanent free plan. A new organisation is granted, once, a free trial period of 14 (fourteen) days, which starts automatically at registration. No payment card is required to start the trial period, and no fee is charged for it. When the trial period ends, telemetry ingestion into the Service stops until a plan is paid for; the grace period does not apply to the trial period. The Contractor may, but is not obliged to, extend the trial period at the Customer's request. An organisation that is neither on a trial period nor on a paid plan sees only the plan payment screen after signing in to the account, and sending telemetry to the Service is closed to it.

5.6. The services are deemed properly provided and accepted by the Customer if no written claim has been received from the Customer at support@tracepo.io during the paid period.

5.7. The Contractor's bank details for non-cash payments:

Bank: JSCB "Sanoatqurilishbank", SME Center Settlement account: 20208000207526740001 MFO: 00440 TIN: 312569409

5.8. Legal entities may pay for the Services by bank transfer against an invoice issued on request to support@tracepo.io. Such a payment constitutes acceptance of this Offer on the general terms; no separate acceptance procedure is required.

5.9. Renewal, plan changes, price changes, the grace period for late payment and refunds are governed by the Billing and Refund Policy.

6. Rights and obligations of the Contractor

6.1. The Contractor undertakes to:

  • provide access to the Service to the extent of the paid plan;
  • make commercially reasonable efforts to keep the Service available and fix faults within a reasonable time;
  • answer requests sent to support@tracepo.io within one to fourteen working days;
  • process the Customer's data in accordance with the Privacy Policy and the Data Processing Agreement;
  • store telemetry for the period set by the Customer's plan;
  • notify the Customer of changes to this Offer and to prices in the manner set out in section 10.

6.2. The Contractor may:

  • change and develop the functionality of the Service without materially reducing the core capabilities of the paid plan during the paid period;
  • suspend access if the Acceptable Use Policy is breached, if the operation of the Service or other customers' data is threatened, in case of non-payment after the grace period, and in other cases provided by law;
  • engage third parties (subprocessors) to provide the services, while remaining responsible to the Customer for their actions.

7. Rights and obligations of the Customer

7.1. The Customer undertakes to:

  • provide accurate information at registration and keep it up to date;
  • pay for the services on time;
  • keep passwords, API keys and the telemetry ingestion key pair secret; the ingestion key secret is shown only once, at creation, and the Contractor does not store it in plain text;
  • notify the Contractor without delay of any compromise of credentials or unauthorised access to the account;
  • comply with the Acceptable Use Policy;
  • ensure a lawful basis for sending any data, including personal data, to the Service, and meet the obligations to inform personal data subjects.

7.2. Restrictions on the data sent.

The content of telemetry is determined by the Customer's settings and code. The Contractor accepts what is sent to it and does not analyse the content of telemetry.

The Customer must not send to the Service biometric and genetic data, data about health, racial or ethnic origin, political opinions, religious beliefs, trade union membership, sex life or sexual orientation, criminal records, government-issued identification numbers, or payment card data.

For other personal data, the Customer undertakes to make reasonable efforts to exclude it from the telemetry sent.

The Customer must not knowingly send passwords, access tokens, private keys or other secrets to the Service.

7.3. The Customer may:

  • use the Service to the extent of the plan;
  • export its data using the tools of the Service during the trial or a paid period, including the grace period;
  • cancel the subscription and delete the organisation in the manner set out in section 9.

8. Liability

8.1. The parties are liable in accordance with the laws of the Republic of Uzbekistan and this Offer.

8.2. The Service is provided "as is". The Contractor does not guarantee that the Service will run without interruption or errors, or that the Service will detect every fault in the Customer's systems.

8.3. Tracepo is a monitoring tool, not a safety system. The Service must not be used as the only means of protection where a failure could harm life, health, the environment or critical infrastructure.

8.4. The Contractor's total liability under this contract is limited to the greater of: the amount actually paid by the Customer in the twelve months before the event, or an amount equivalent to one hundred US dollars.

8.5. The Contractor is not liable for lost profits, indirect losses or loss of business reputation.

8.6. The limitations in clauses 8.4 and 8.5 do not apply to intent, gross negligence or fraud, or where the law does not allow liability to be limited.

8.7. Nothing in this Offer limits liability for harm to life and health, or the consumer rights established by the laws of the Republic of Uzbekistan where the Customer is a natural person buying the services for personal needs. Terms of this Offer that put a consumer in a worse position than the law provides do not apply to that consumer.

8.8. The Customer is responsible for the lawfulness of the data sent to the Service and indemnifies the Contractor for losses arising from third-party claims relating to such data or to the Customer's breach of this Offer.

8.9. The parties are released from liability for failure to perform due to force majeure. This does not release anyone from the obligation to pay for services already provided.

9. Term, amendment and termination

9.1. The contract is in force from acceptance until it ends on the grounds set out in this section.

9.2. The Customer may withdraw from the contract at any time by cancelling the subscription in the payment service portal (when paying in US dollars) or by writing to support@tracepo.io (when paying in soum), or by deleting the organisation in the account settings. Cancelling the subscription stops automatic renewal and does not end the current paid period.

9.3. The Contractor may terminate the contract if the Customer materially breaches its terms and does not remedy the breach within fifteen days of written notice, in case of non-payment after the grace period, and if the Contractor stops providing the services. The Contractor gives at least ninety days' notice of stopping the services and refunds the unused part of the paid period.

9.4. Suspension of access for non-payment, the length of the grace period and the time limit for deleting telemetry are set out in the Billing and Refund Policy. The Customer is told the telemetry deletion date by email in advance. Until deletion, the Customer's data is kept unchanged. While access is suspended, the Service is closed except for the payment screen, and access is restored as soon as payment is made.

9.5. The Customer's account and organisation are not deleted for non-payment. Only telemetry is deleted.

10. Changes to the Offer

10.1. The Contractor may change this Offer. A new version is published at the same address with its version number and date.

10.2. The Contractor notifies the Customer by email at least thirty days before changes that materially affect the Customer's rights and obligations take effect.

10.3. If the Customer does not agree with the changes, the Customer may inform the Contractor before they take effect and withdraw from the contract. In that case the Contractor refunds the unused part of the paid period.

10.4. Continuing to use the Service after the changes take effect means agreement with the new version.

10.5. Prices are changed in the manner set out in the Billing and Refund Policy. A price change does not apply to a period already paid for.

11. Personal data

Personal data is processed in accordance with Law of the Republic of Uzbekistan No. ZRU-547 "On Personal Data", the Privacy Policy and the Data Processing Agreement.

Account data and telemetry are stored on servers located in the Kingdom of Sweden (Stockholm).

By accepting, the Customer consents to the processing of its personal data to the extent and on the terms set out in the Privacy Policy.

12. Dispute resolution

12.1. The parties try to settle disagreements by negotiation. The claim procedure is mandatory. A claim is considered within thirty calendar days of receipt.

12.2. Claims are sent to support@tracepo.io, and where necessary to the Contractor's postal address.

12.3. Disputes not settled through the claim procedure are resolved by the court at the Contractor's location in accordance with the laws of the Republic of Uzbekistan. Where the Customer is a consumer, the jurisdiction rules of consumer protection law apply.

12.4. This contract is governed by the law of the Republic of Uzbekistan.

13. Other terms

13.1. The Customer may not transfer its rights and obligations under the contract to third parties without the Contractor's written consent.

13.2. If any provision is invalid, the remaining provisions stay valid.

13.3. Legally significant notices are sent by the Contractor to the email address in the Customer's account and are deemed received on the day they are sent. The Customer sends notices to support@tracepo.io.

13.4. The Contractor does not use the Customer's name or trademarks for advertising without the Customer's prior consent.
